These Terms of Service ("Terms") govern your access to and use of the website and services provided by Al Wafaa Integrated Business LLC ("Al Wafaa," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Al Wafaa provides digital marketing services, including search engine optimization (SEO), paid advertising (PPC), social media marketing, web design, and content services. The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate proposal, statement of work, or written agreement ("Service Agreement"). In the event of a conflict, the Service Agreement prevails over these Terms.

2. Engagement & Fees

Fees are quoted in U.S. Dollars (USD) unless otherwise stated, and are billed monthly in advance unless agreed otherwise.
Advertising budgets (amounts paid to platforms such as Google or Meta) are separate from our service fees and are the client's responsibility.
Payments are processed through trusted providers including Stripe and Wise. Invoices are due upon receipt unless otherwise agreed in writing.
Late or failed payments may result in suspension of services until the account is brought current.

3. Client Responsibilities

To deliver effective services, we rely on you to:

Provide timely access to accounts, assets, and information we reasonably require.
Review and approve deliverables within agreed timeframes.
Ensure all materials you provide do not infringe third-party rights and comply with applicable laws.

4. Results Disclaimer

Digital marketing involves third-party platforms and market factors beyond our control. While we apply industry best practices and work diligently toward agreed goals, we do not guarantee specific rankings, traffic levels, conversions, or revenue. Any forecasts or projections are estimates, not guarantees.

5. Intellectual Property

Upon full payment, deliverables created specifically for you become your property. We retain ownership of our pre-existing tools, methodologies, templates, and know-how. We may reference completed work in our portfolio and marketing unless otherwise agreed in writing.

6. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services, and to use it only for the purpose of the engagement.

7. Term & Termination

Engagements continue on a monthly basis unless otherwise stated in the Service Agreement. Either party may terminate with thirty (30) days' written notice. Fees for work performed up to the termination date remain payable. We may suspend or terminate services immediately for non-payment or breach of these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, Al Wafaa's total liability arising out of or relating to the services shall not exceed the fees paid by you to us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or revenue.

9. Indemnification

You agree to indemnify and hold Al Wafaa harmless from any claims, damages, or expenses arising from materials you provide, your use of the deliverables, or your breach of these Terms.

10. Third-Party Platforms

Our services may involve third-party platforms (e.g., Google, Meta, hosting and payment providers). Your use of those platforms is subject to their respective terms, and we are not responsible for their actions, policies, or availability.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Wyoming.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
